In the case of a public limited company, the shares must have a nominal value of at least CHF 0.01 (i.e. 1 centime). This means that if you have share capital of CHF 100,000, you can divide this into a maximum of 10,000,000 shares (each with a par value of CHF 0.01).

Shares with a nominal value of less than CHF 1 are rarely chosen in Switzerland. This is because this share denomination quickly makes the share capital appear larger than it really is. However, the denomination of the share capital can be changed again at any time, but only in the course of an amendment to the articles of association. This is because they are part of OR 626, which requires, among other things, that the amount of the share capital, the number, the nominal value and the type of shares must be set out in the articles of association. Please note: According to Art. 647 CO, any amendment to the articles of association by the general meeting or the board of directors must be notarized and entered in the commercial register.
